In a significant development in India's food services sector, Sapphire Foods India is set to merge with Devyani International, marking a new chapter in the quick-service restaurant (QSR) industry. This merger combines the strengths of both companies, which operate popular brands like KFC and Pizza Hut in India. The merger is poised to create one of the largest QSR operators in the country, enhancing growth prospects and operational efficiency.

Devyani International, known for its extensive network of over 2,000 stores across India and several other countries, has a diverse portfolio that includes not only KFC and Pizza Hut but also Costa Coffee and Taco Bell. This merger will allow the combined entity to leverage economies of scale and improve its bargaining power with suppliers and landlords. With the backing of Yum! Brands, the merger is expected to foster a stronger alignment for store expansion and sustainable growth.

The transaction will involve a share-swap mechanism, with Devyani International issuing 177 equity shares for every 100 shares held in Sapphire Foods. This strategic consolidation aims to streamline operations and create synergies, with projected annual savings of Rs 210–225 crore from the second full year of operations. The complete integration is anticipated to take 15 to 18 months.

Ravi Jaipuria, the chairman of Devyani International, expressed confidence in the merger, stating that it marks a decisive step in the company’s growth journey. This merger will not only solidify Devyani's presence in the Indian market but also expand its international footprint, particularly in neighboring Sri Lanka.

Industry experts believe this merger is a game-changer for the QSR landscape in India. With increasing consumer demand for quick-service dining, the combined entity is well-positioned to capitalize on market trends and consumer preferences. The consolidation will allow for a unified brand strategy, promising exciting growth opportunities for both KFC and Pizza Hut in the Indian market.
